Here, depending on the context, is referred to respectively as “One side” or “Side” or “Two sides.”

Article 1.- Objects of the contract

Party A agrees to rent to Party B and Party B agrees to rent Party A’s leased space described in detail in Clause 2.1, Article 2 of this contract in accordance with the terms agreed upon by the parties in this Agreement.

– Party B shall have the right to prefer to rent the leased area if the contract expires, Party A continues to lease Area. In this case, Party B must notify Party A in order to request extension of this Contract before the expiration of this Agreement (02) two months in order for the two parties to renegotiate the Agreement. In case Party A arbitrarily changes the rent but Party B does not agree, resulting in the two parties can not agree on the rent and must terminate the contract, this case is considered party A unilaterally terminate the Contract VND and Party A will pay compensation to Party B in accordance with clause 7.2 of Article 7 of the Contract.

– In case of premature termination for any reason, Party A is responsible for reimbursing Party B the rent corresponding to the number of months before the term of the lease.

– Deposit: Party B will deposit to Party A a rent payment for one (01) month. This amount will be refunded to Party B when Party B terminates the Contract. This money also aims to ensure that Party A has fully paid the items stated in Article …

3.2 Payment method:

– Payment term: At the time of the signing of this contract, Party B shall pay Party A the rent for six (06) months. Prior to the end of the six (06) first five (05) days, Party B will pay Party A six (06) six months rent.

– Currency for payment: Party B will pay to Party A Cash in cash, converted into Vietnamese Dong at the time of payment at the foreign exchange rate sold between USD and VND by the Bank. Joint Stock Commercial Joint Stock for Foreign Trade of Vietnam announced at the time of payment. Party B pays Party A a one-time rent, equivalent to six months rent. The payment in Vietnamese currency at the exchange rate of the Bank for Foreign Trade at the time of payment.

Article 4. Rights and obligations of Party A

– Hand over the leased area to Party B within the time limit agreed in Article 2 of this contract.

– Create favorable conditions for Party B during the use of the Area under the terms of this contract.

– Do not unilaterally terminate the contract when Party B has fulfilled the obligations stipulated in the contract.

– To maintain the legal nature of the leased area.

– Maintain the current status of the entire material facilities of the leased area when handed over to Party B.

Responsible for repairing structural damage of the leased area not caused by the fault of Party B within 30 days from the date of receiving notice of Party B about the damage. .

– Priority of extending the contract with Party B with terms agreed in this contract.

– Authorize and create all conditions for Party B to pay rent tax to the tax authorities.

Responsible for temporary residence registration for staffs of Party B who directly use Leased Area in accordance with Vietnamese law.

Article 5. Rights and obligations of Party B.

– Pay the full and timely payment to Party A in accordance with the provisions of this contract.

– Use area rent for the right purpose.

– Not to sub-lease the third party without the written consent of party A.

– Payment of all sanitation expenses, electricity, water, telephone charges, fees and charges arising from the sale of services or goods of Party B during the use of the building.

– It is allowed to decorate and install equipment to suit Party B’s activities but not to affect the structure of the building.

+ Air-conditioners are installed in the rented area (if required).

+ Wooden flooring.

+ Decorated ceiling.

+ Painted windows inside the apartment.

With regard to the assets that Party B invests in, at the end of the lease term these assets will belong to Party B and Party B has the right to move out of the Lease Area.

– Notify party A of any damage not caused by Party B’s fault in the structure of the building so that Party A can take corrective measures.

Article 6. Termination of the contract

6.1 The contract shall automatically terminate its validity in the following cases:

– The parties do not reach agreement on the extension of the contract.

– Apartment for rent is no longer due to force majeure or due to act of a competent state agency.

6.2 Other cases that invalidate the contract:

– The parties agree on termination of the contract;

Article 7. Commitment of the parties

– This Agreement establishes all agreements between the two parties and supersedes all prior agreements, discussions and commitments. Those cases not included in the provisions shall be proposed in writing by the two parties or mutually discussed and signed in the form of an appendix to the contract.

– If one of the parties unilaterally terminates the contract before the deadline, it must notify the other party at least 3 months before the intended date of termination and at the same time compensate the following amount:

– If Party A unilaterally terminates the contract before the deadline, Party A shall compensate Party B for 06 months rent.

– If Party B unilaterally terminates the contract ahead of time, Party B shall indemnify Party A as follows: If Party B unilaterally terminates within the first 3 months, Party B shall indemnify the remaining months of the payment period.

– During the implementation of this contract, any dispute arising will be resolved in the spirit of cooperation negotiation. If both parties can not resolve themselves, the dispute will be brought to the competent court for settlement.

– The contract is made in four (04) copies, two in Vietnamese and two in English, each party keeps one Vietnamese version and one English version has the same legal effect. In the event of a conflict between the Vietnamese and English versions, the Vietnamese version shall prevail.
